1. Introduction

Welcome to Professional Web Design Solutions. These Terms & Conditions govern your use of our services. By engaging with us, you agree to comply with and be bound by the following terms. Please read them carefully before commencing any project. We are committed to delivering technical precision and strategic excellence to all our high-growth enterprise clients.

2. Services

We provide a range of digital services including but not limited to technical infrastructure development, digital strategy, UI/UX design, SEO optimization, and technical audits. The specific scope of work for each project will be detailed in a separate Service Agreement or Proposal, which, once signed, becomes an integral part of these terms.

3. Payments & Pricing

Project pricing is based on the complexity and scope defined in the proposal. All fees are in USD unless stated otherwise. A non-refundable deposit is required to start work. Subsequent payments are tied to project milestones. Failure to make payments on time may result in project suspension or termination of services.

4. Project Timelines

Timelines provided are estimates based on the initial project scope. We strive for precision, but delays in client feedback or changes to the project scope will impact the final delivery date. We will communicate any significant timeline adjustments promptly through our project management portal.

5. Revisions & Approvals

Each stage of the project includes a specified number of revision rounds. Any requests beyond this scope will incur additional charges. Written approval is required to move from one phase to the next (e.g., from design to development). Once a phase is approved, major changes will be handled as a Change Order.

6. Client Responsibilities

Clients are responsible for providing all necessary content, images, branding assets, and access credentials required for project completion. You warrant that you own or have the legal right to use all materials provided. Timely feedback is essential to maintaining the project's technical momentum.

7. Intellectual Property

Upon final payment, ownership of the completed website and custom designs is transferred to the client. However, we retain ownership of any proprietary code, tools, or background technology used in the project. We also reserve the right to display the completed work in our portfolio and marketing materials.

8. Website Hosting & Maintenance

We offer specialized hosting and maintenance packages to ensure server-side reliability. If the client chooses to host elsewhere, we are not responsible for performance issues, security vulnerabilities, or bugs due to server configurations. Maintenance plans are billed separately and cover updates, backups, and minor fixes.

9. Cancellations & Refunds

Either party may terminate the project with written notice. In the event of cancellation, the client is responsible for payment for all work completed up to the termination date. Deposits are non-refundable. Due to the nature of creative and technical labor, we do not offer refunds once work has commenced.

10. Limitation of Liability

To the maximum extent permitted by law, Professional Web Design Solutions shall not be liable for any indirect, incidental, or consequential damages resulting from the use of our services. Our total liability for any claim arising out of this agreement shall not exceed the total amount paid by the client for the project.

11. Third-Party Services

We may integrate third-party tools, plugins, or APIs into your project. These services are governed by their own terms and conditions. We are not responsible for the performance, availability, or security of these third-party platforms. Any additional costs for third-party licenses are the responsibility of the client.

12. Changes to These Terms

We reserve the right to update these Terms & Conditions at any time. Significant changes will be posted on this page with an updated 'Last modified' date. Your continued engagement with our services following any changes constitutes your acceptance of the revised terms.

We provide strategic digital consulting, user experience design, and technical web development. Our services are tailored to high-growth enterprises requiring precision infrastructure. The specific scope of work for each engagement will be detailed in a separate Statement of Work (SOW) or Project Proposal signed by both parties.

Contact Information

Project fees are calculated based on requirements, complexity, and technical specifications. A non-refundable deposit is required to initiate any work. Milestone payments are billed upon the completion of defined project phases. All invoices are due within 14 days of issue unless otherwise specified in the project agreement.

Project Timelines

Detailed timelines are established at the start of each project. While we strive to meet all deadlines, delivery dates are estimates and depend on timely client feedback and material provision. Delays in client approvals or content delivery may result in adjusted launch dates and potential rescheduling fees.

Revisions & Approvals

Our process includes a specific number of revision cycles defined in the SOW. Additional variations or major shifts in project scope after initial approval will be billed at our standard hourly rate. Final approval is required before site deployment or delivery of final assets.

Client Responsibilities

Clients must provide all necessary brand assets, copywriting (unless contracted), and technical access in a timely manner. The client is responsible for ensuring all provided materials do not infringe on any third-party copyrights. Accuracy of final data and content is the sole responsibility of the client.

Intellectual Property

Upon full and final payment, ownership of the final visual design and custom code for the website is transferred to the client. We retain the right to showcase the project in our portfolio and marketing materials. Any proprietary tools, frameworks, or pre-existing intellectual property remains the property of our firm.

Website Hosting & Maintenance

Ongoing hosting and maintenance are provided as separate sub-agreements. We ensure high-performance infrastructure through vetted providers. While we maintain technical reliability, we are not responsible for downtime caused by third-party hosting providers or external server failures.

Cancellations & Refunds

Either party may terminate the agreement with 30 days written notice. In the event of cancellation, the client is responsible for payment for all work completed up to the termination date. All deposits and completed milestone payments are non-refundable.

Limitation of Liability

Our firm shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or website performance. Our maximum liability under any circumstances is limited to the total amount paid by the client for the specific project phase in question.

Third-Party Services

We may integrate third-party applications or services into your digital environment. Your use of such services is subject to their respective terms and conditions. We do not guarantee the continued functionality or support of third-party platforms beyond our control.

Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. Significant updates will be reflected on this page with an updated revision date. Continued engagement with our services after changes are posted constitutes acceptance of the new terms.
